A&VM BUSINESS DEVELOPMENT LIMITED ("A&VM")

At A&VM, we are committed to providing our clients with exceptional service. As providing this service involves the collection, use and disclosure of some personal information about our clients, protecting their personal information is one of our highest priorities.

We are committed to protecting our client’s personal information in compliance with the British Columbia’s Personal Information Protection Act ("PIPA"). PIPA, which came into effect on January 1, 2004, sets out the ground rules for how B.C. businesses and not-for-profit organizations may collect, use and disclose personal information.

We will inform our clients of why and how we collect, use and disclose their personal information, obtain their consent where required, and only handle their personal information in a manner that a reasonable person would consider appropriate in the circumstances.

This Personal Information Protection Policy, in compliance with PIPA, outlines the principles and practices we will follow in protecting clients’ personal information. Our privacy commitment includes ensuring the accuracy, confidentiality, and security of our clients’ personal information and allowing our clients to request access to, and correction of, their personal information.

Scope of this Policy

This policy also applies to any service providers collecting, using or disclosing personal information on behalf of A&VM.

Definitions

Personal Information - means information about an identifiable individual, including name, age, home address and phone number. Personal information does not include contact information (described below).

Contact information– means information that would enable an individual to be contacted at a place of business and includes name, position name or title, business telephone number, business address, business email or business fax number. Contact information is not covered by this policy or PIPA.

Privacy Officer – means the individual designated responsibility by A&VM for ensuring that A&VM complies with this policy and PIPA.

Policy 1 – Collecting Personal Information

1.1 Unless the purposes for collecting personal information are obvious and the client voluntarily provides his or her personal information for those purposes, we will communicate the purposes for which personal information is being collected, either orally or in writing, before or at the time of collection.

1.2 We will only collect client information that is necessary to fulfill the following purposes:

To identify client preferences;

To understand the needs of our clients;

To deliver requested products and services

To send out information, updates and newsletters;

To ensure a high standard of service to our clients; and

To meet regulatory and legal requirements.

Policy 2 – Consent

2.1 We will obtain client consent to collect, use or disclose personal information (except where, as noted below, we are authorized to do so without consent).

2.2 Consent can be provided orally, in writing, electronically, through an authorized representative or it can be implied where the purpose for collecting using or disclosing the personal information would be considered obvious and the client voluntarily provides personal information for that purpose.

2.3 Consent may also be implied where a client is given notice and a reasonable opportunity to opt-out of his or her personal information being used for mail-outs, the marketing of new services or products, fundraising and the client does not opt-out.

2.4 Subject to certain exceptions (e.g., the personal information is necessary to provide the service or product, or the withdrawal of consent would frustrate the performance of a legal obligation), clients can withhold or withdraw their consent for A&VM to use their personal information in certain ways. A client’s decision to withhold or withdraw their consent to certain uses of personal information may restrict our ability to provide a particular service or product. If so, we will explain the situation to assist the client in making the decision.

2.5 We may collect, use or disclose personal information without the client’s knowledge or consent in the following limited circumstances:

When the collection, use or disclosure of personal information is permitted or required by law;

In an emergency that threatens an individual's life, health, or personal security;

When the personal information is available from a public source (e.g., a telephone directory);

When we require legal advice from a lawyer;

 For the purposes of collecting a debt;

 To protect ourselves from fraud; or

 To investigate an anticipated breach of an agreement or a contravention of law.

Policy 3 – Using and Disclosing Personal Information

3.1 We will only use or disclose client personal information where necessary to fulfill the purposes identified at the time of collection or for a purpose reasonably related to those purposes such as:

To conduct client surveys in order to enhance the provision of our services; and

 To contact our clients directly about products and services that may be of interest.

3.2 We will not use or disclose client personal information for any additional purpose unless we obtain consent to do so.

3.3 We will not sell client lists or personal information to other parties unless we have consent to do so.

Policy 4 – Retaining Personal Information

4.1 If we use client personal information to make a decision that directly affects the client, we will retain that personal information for at least one year so that the client has a reasonable opportunity to request access to it.

4.2 Subject to policy 4.1, we will retain client personal information only as long as necessary to fulfill the identified purposes or a legal or business purpose.

Policy 5 – Ensuring Accuracy of Personal Information

5.1 We will make reasonable efforts to ensure that client personal information is accurate and complete where it may be used to make a decision about the client or disclosed to another organization.

5.2 Clients may request correction to their personal information in order to ensure its accuracy and completeness. A request to correct personal information must be made in writing and provide sufficient detail to identify the personal information and the correction being sought. A request to correct personal information should be forwarded to the Privacy Officer.

5.3 If the personal information is demonstrated to be inaccurate or incomplete, we will correct the information as required and send the corrected information to any organization to which we disclosed the personal information in the previous year. If the correction is not made, we will note the clients’ correction request in the file.

Policy 6 – Securing Personal Information

6.1 We are committed to ensuring the security of client personal information in order to protect it from unauthorized access, collection, use, disclosure, copying, modification or disposal or similar risks.

6.2 The following security measures will be followed to ensure that client personal information is appropriately protected:

the use of locked filing cabinets;

physically securing offices where personal information is held;

the use of user IDs and passwords on all computers and electronic devices containing client personal information;

restricting employee access to personal information as appropriate (i.e., only those that need to know will have access);

contractually requiring any service providers to provide comparable security measures.

6.3 We will use appropriate security measures when destroying client’s personal information such as shredding documents and deleting electronically stored information.

6.4 We will continually review and update our security policies and controls as technology changes to ensure ongoing personal information security.

Policy 7 – Providing Clients Access to Personal Information

7.1 Clients have a right to access their personal information, subject to limited exceptions, including when the access would breach solicitor-client privilege, disclosure would reveal personal information about another individual or the disclosure would cause health and safety concerns.

7.2 A request to access personal information must be made in writing to the Privacy Officer and provide sufficient detail to identify the personal information being sought.

7.3 Upon request, we will also tell clients how we use their personal information and to whom it has been disclosed if applicable.

7.4 We will make the requested information available within 30 business days, or provide written notice of an extension where additional time is required to fulfill the request.

7.5 A minimal fee may be charged for providing access to personal information. Where a fee may apply, we will inform the client of the cost and request further direction from the client on whether or not we should proceed with the request.

7.6 If a request is refused in full or in part, we will notify the client in writing, providing the reasons for refusal and the recourse available to the client.

Policy 8 – Questions and Complaints: The Role of the Privacy Officer

8.1 The Privacy Officer is responsible for ensuring A&VM’s compliance with this policy and the Personal Information Protection Act.

8.2 Clients should direct any complaints, concerns or questions regarding A&VM’s compliance in writing to the Privacy Officer. If the Privacy Officer is unable to resolve the concern, the client may also write to the Information and Privacy Commissioner of British Columbia.

TERMS OF USE

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THIS WEB SITE.

By visiting, using and accessing (the "Visitor") the WWW.A-VM.NET web site (the "Web Site") you agree

to be bound by these terms of use as amended from time to time (the "Terms of Use"). If you do not wish

to be bound by the Terms of Use, you should not be a Visitor.

1. Acceptance of these Terms of Use

This is an agreement between you and A&VM BUSINESS DEVELOPMENT B.V. and/or A&VM BUSINESS

DEVELOPMENT LIMITED (collectively "A&VM"), the terms of which govern your use of the Web Site. Each

time you visit the Web Site you indicate your acceptance and agreement to the Terms of Use. By your use

of the Web Site you also indicate the acceptance and agreement of any person or legal entity which you

represent, and your authority to accept these Terms of Use and act on behalf of such person or legal entity.

2. Amendments and Modifications to these Terms of Use

A&VM reserves the right to update, change, amend, add or otherwise modify these Terms of Use and will

concurrently revise the effective date of the applicable web page. By accepting these Terms of Use you

agree to review them periodically to determine if any revisions have been made. By visiting the Web Site,

you agree to be bound by the Terms of Use in effect at the time of access. If you do not agree with the terms

of these Terms of Use you must cease to use the Web Site. Continued use of the Web Site will constitute

acceptance of such changes.

3. Terms

Your use of the Web Site is subject to the following terms:

a) each time you use the Web Site you represent and warrant that you have the legal authority to

agree to and accept these Terms of Use on behalf of yourself and any person or legal entity you

represent. The Web Site may be used only by persons who are the age of majority in the Province

in which you reside, or are an emancipated minor, or possess legal parental or guardian consent,

and can form legally binding contracts under applicable law. If you have not reached the age of

majority in the province or territory in which they reside should obtain parental consent prior to

visiting the Web Site. If you are under 13 years of age, then please do not use the Web Site. We

strongly recommend that parents and guardians supervise their children's use of the Web Site.

the Web Site violate any laws in your jurisdiction (including but not limited to copyright laws);

without the express written consent of A&VM;

f) you agree not to upload, post, host, or transmit unsolicited email, SMSs (short message service), or

"spam" messages;

g) you agree not transmit any worms or viruses or any code of a destructive nature;

h) the Web Site is made available to you for your lawful, personal or fair dealing, non-commercial use

only. You are responsible for using the Web Site and its contents in a lawful manner. You may print

or download Web Site pages for your personal non-commercial use provided that you do not

modify any of the Web Site pages or other content and you do not remove or alter any visible or

non-visible identification, marks, notices, or disclaimers. A&VM retains all rights to any such printed

or downloaded material, and only grants you a limited license to use them during the term of your

use of the Web Site; and

i) the Web Site and its content, and any application, product or service, including without limitation

any HTML/CSS or visual design elements, may not be copied, imitated, reproduced, republished,

uploaded, posted, transmitted, modified, indexed, catalogued, mirrored, used or distributed in any

way, in whole or in part, without the express prior written consent of A&VM.

4. No Linking, Framing, Mirroring, Scraping, Data-Mining and Postings

Links to the Web Site without the express written permission of A&VM are strictly prohibited. To request

permission to link to the Web Site, please contact A&VM at info@a-vm.net. The framing, mirroring, scraping

or data-mining of the Web Site or any of its content in any form and by any method is strictly prohibited.

You may not use any collaborative browsing or display technologies in connection with your use of the Web

Site or to post comments, communications, or any other data of any kind to or on the Web Site with the

intention that such postings may be viewed by other users of the Web Site.

5. Cancellation and Termination

This Agreement may be canceled or terminated by A&VM in its sole discretion, for any reason at any time.

A&VM also retains the right to refuse any and all current or future use of the Web Site, or any other A&VM

service, for any reason at any time.

If these Terms of Use or your permission to use the Web Site is terminated by you or A&VM for any reason,

then these Terms of Use will nevertheless continue to apply and be binding upon you in respect of your prior

use of the Web Site.

6. Modifications

A&VM reserves the right at any time and from time to time to modify or discontinue, temporarily or

permanently, the Web Site or any part thereof with or without notice. A&VM will not be liable to you or to

any third party for any modification, suspension or discontinuance of the Web Site. In addition, A&VM may

update the Web Site to add, modify, and/or remove features from the Web Site. These updates may be

made automatically with little or no notice.

7. Intellectual Property Ownership by A&VM

The content and "look and feel" of the Web Site is owned by A&VM, copyright © 2009 A&VM, all rights

reserved. The Web Site and all of its content, including all the wallpaper, characters, artwork, icons,

graphics, music, text, and all HTML, CGI, and other code and scripts in any format used to implement this

site, any application, product or service is the property of A&VM (and possibly third parties), and is protected

by Canadian and international copyright, trade-mark, and other laws.

Your use of the Web Site does not transfer to you any ownership or other rights in the Web Site or its

content. "A&VM" and the A&VM logo are trade-marks, trade-names and service-marks owned by A&VM.

a) A&VM may use third party vendors and hosting partners to provide the necessary hardware,

are independent and A&VM does not make any representations or warranties or take any

responsibility or accept any liability whatsoever regarding the acts or omissions of such parties;

d) A&VM welcomes suggestions or other communications from users of the Web Site and wishes to

improve the service it provides. However, to avoid any disputes, in sending any communications,

you transfer and assign all ownership and Intellectual Property rights to A&VM. Specifically, without

limitation, all suggestions, ideas, concepts, messages, e-mails, samples, and all other content or

submissions will become the property of A&VM for its use, notwithstanding any statement

regarding confidentiality or non-disclosure.

12. Miscellaneous

The following terms apply to these Terms of Use:

a) No Waiver - no consent or waiver by either party to or of any breach or default by the other party in

its performance of its obligations under these Terms of Use will be deemed or construed to be a

consent to or waiver of a continuing breach or default or any other breach or default of those or any

other obligations of that party. No consent or waiver will be effective unless in writing and signed by

both parties;

b) Entire Agreement – these Terms of Use, as may be amended or changed from time to time,

constitutes the entire agreement between you and A&VM and governs your use of the Web Site,

superseding any prior agreements between you and A&VM whether oral, written or otherwise;

c) Severability - if any provision of these Terms of Use is found to be unlawful, void, or for any reason

unenforceable, then that provision will be deemed to be severed from the rest of these Terms of

Use and will not affect the validity and enforceability of any remaining provisions.

d) Governing Law;

(i) With respect to your Agreement with A&VM Business Development Limited, your use of

the Web Site, and all related matters are governed solely and exclusively by the laws of

the Province of British Columbia, Canada and applicable federal laws of Canada,

excluding any rules of private international law or the conflict of laws which would lead to

the application of any other laws. You hereby attorn to the original and exclusive

jurisdiction of those Courts in respect of any such dispute or matter. Any claim or cause of

action you may have arising from, connected with, or relating to your use of the Web Site,

these Terms of Use, or any related matters must be commenced in a court of competent

jurisdiction in the Province of British Columbia within six (6) months after the claim or

cause of action arises, after which time the claim or cause of action is forever barred; and

(ii) With respect to your Agreement with A&VM Business Development B.V., your use of the

Web Site, and all related matters are governed solely and exclusively by the laws of The

Netherlands, excluding any rules of private international law or the conflict of laws which

would lead to the application of any other laws. You hereby attorn to the original and

exclusive jurisdiction of those Courts in respect of any such dispute or matter. Any claim

or cause of action you may have arising from, connected with, or relating to your use of

the Web Site, these Terms of Use, or any related matters must be commenced in a court

of competent jurisdiction in The Netherlands within six (6) months after the claim or cause

of action arises, after which time the claim or cause of action is forever barred;

e) Other Jurisdictions - Use of the Web Site is unauthorized in jurisdictions that do not give effect to

these Terms of Use or where access to or use of the Web Site or any part of it may be illegal or

prohibited. Those who choose to access the Web Site from such locations do so on their own

initiative, at their own risk and are responsible for compliance with local laws, if and to the extent

local laws are applicable;

f) Enurement - the provisions of these Terms of Use will enure to the benefit of and be binding upon

each of A&VM and its successors and assigns and related persons, and you and your heirs,

executors, administrators, successors, permitted assigns, and personal representatives. You may

not assign these Terms of Use or your rights and obligations under these Terms of Use without the

express prior written consent of A&VM which may be withheld in A&VM’s sole discretion. A&VM

may assign these Terms of Use and its rights and obligations under these Terms of Use without

your consent; and

g) Survival – Terms of these Terms of Use providing rights and obligations which, by their nature,

should continue, will stay in effect after these Terms of Use terminates.
